THE HOME DEPOT PRO NATIONAL REBATE INCENTIVE PROGRAM
PROGRAM BENEFITS
A. PROGRAM REBATE INFORMATION Qualifying Purchases made by Program Participants ("Participants") will be tracked during the Program Period (defined in the Enrollment Guide). As used in these rules, "Qualifying Purchases" are purchases made by Participants of designated products and/or services, as specified in the Qualifying Purchases Section below, less any taxes, fees, and returns. Participants through their National Account Supply Agreement provisions may have access to sales reporting provided in accordance with the National Account Supply Agreement. Each Participant may receive an incentive rebate ("Rebate") based on the accumulated amount of Qualifying Purchases ("Spend") made by such Participant. The percentage and timing of the Rebate is specific to the National Account Supply Agreement to which you belong, and such information may be obtained directly from your National Account Supply Agreement contact.
B. PROGRAM PROMOTIONS From time to time, The Home Depot may conduct sweepstakes and other promotions ("Promotions") for Participants. All such Promotions shall be governed by the official rules designated by The Home Depot for each Promotion. Participation in a Promotion will constitute your acceptance of the applicable official rules.
C. PROGRAM COUPONS The Home Depot may send participants exclusive coupons for qualifying product purchases during the Program Period.
GENERAL INFO
A. PROGRAM DATES The Program you are participating in is effective from the executed date on the National Account Supply Agreement with the associated rebate periods therein and identified on the Enrollment Guide.
B. ELIGIBILITY AND REGISTRATION The Program is available to professional customers who are authorized Participants in a specific National Account Supply Agreement and who fully complete The Home Depot's National Account Supply Agreement Pro registration process. During registration, you will be assigned an individualized Program identification number ("Participant Program Number") associated with the Program. Further, you are required to provide certain information (including among other things, your name, company name, mailing address, primary telephone number and valid email address). Registration and eligibility for Rebates requires you to register in your Pro account all forms of tender that may be utilized for qualifying purchases. Tender forms may include, but are not limited to the following: credit card account information, debit card account information, gift card information, checking account and routing information and The Home Depot issued "Key Tag" cards.
Participants may request a Key Tag card. A Key Tag card is required to track any Qualifying Purchases with cash or store card, and the card must be presented to a The Home Depot associate prior to completing a sales transaction. Providing false information or omitting required information may be grounds for denial of enrollment and/or suspension of participation. Participants must provide a valid email address during registration or, if previously registered without an email address, by accessing their Pro account registration, contacting the Pro National Account Customer Care Center or visiting their local Pro Desk or Special Services Desk
C. PARTICIPANT INACTIVATION/SUSPENSION Participants may choose to inactivate their membership at any time. Additionally, The Home Depot reserves the right to suspend any Participant at any time if they are not complying with program requirements. Qualifying purchases made by Participants who have been suspended or made inactive from the Program will not be accumulated toward the participants' spend. Further, such suspended

or inactive Participants will not receive any Rebate, nor accrue towards any other associated rebates defined in the National Account Supply Agreement during the period of being inactive or suspended and will only begin accumulating Qualifying Purchases Spend and receiving applicable Rebates when subsequently activated in the Program by The Home Depot at its sole discretion.
D. QUALIFYING PURCHASES Products and services that are eligible to count towards Qualifying Purchases are subject to change from time to time at The Home Depot's discretion. Qualifying Purchases include in-store purchases made only at The Home Depot and through homedepot.com and exclude purchases of The Home Depot gift cards, tool rental transitions and purchases from any The Home Depot affiliate stores. Qualifying Purchases will not be tracked and accumulated in your Spend unless (1) you have completed the registration requirements set forth herein, and (2) you utilize one of the specific tenders registered in your Pro account.
E. PRIVACY When you enroll in the Program, we will collect your name, address, email address and primary phone number/Program number. A valid email address is required for participation. By participating in the Program and providing us with this information, you agree that we may use your information to administer your participation in the Program for your marketing purposes, which may include sending you emails, and as otherwise described in our Privacy and Security Statement. You also agree that we may share your information with any of our affiliated companies for their marketing purposes. The Home Depot's Privacy and Security Statement is available online at homedepot.com. We want to assure you that The Home Depot respects your privacy and will not sell or rent your personal information. F. TAXATION AND OTHER FEES All federal, state and local income taxes, insurance, registration, liabilities, surcharges, title fees and any other fees connected to the Program are the sole responsibility of the Participant. Winners of any Promotion may need to complete a Form W-9, and The Home Depot will report the value of the prize on a Form 1099 at the end of the year.
G. GOVERNING LAW AND DISPUTE RESOLUTION The governing law and associated dispute resolution identified in the National Account Supply Agreement regarding enrollment in this Program govern these Program rules.
H. ADDITIONAL RULES · By registering for the Program and making Qualifying Purchases at The Home Depot, you accept all terms and conditions in these
rules and release The Home Depot and hold The Home Depot harmless from any claim, liability or damage relating to the Program consistent with the associated National Account Supply Agreement. · Fraud or abuse relating to Qualifying Purchases and/or registered tenders will result in termination of our Participation. The Home Depot reserves the right to pursue legal action in the event of fraud, misrepresentation, abuse or violation of these rules. · Other terms and conditions may apply to the Program. Any changes to the Program will be shown in these rules as a result of a change to the associated National Account Supply Agreement. Any changes to any printed version of these rules will be contained in the next reprinting of that printed version. · THE HOME DEPOT MAKES NO EXPRESS OR IMPLIED REPRESENTATION OF WARRANTY AS TO ANY PROGRAM BENEFIT AND WILL NOT BE LIABLE FOR INJURY, DAMAGE, LOSS OR EXPENSE RESULTING FROM THE USE OR ACCEPTANCE OF ANY PROGRAM BENEFIT.

ACKNOWLEDGEMENT AND ACCEPTANCE By participating in one of The Home Depot's Pro National Account Rebate Incentive Programs ("Program"), you consent to these rules. You acknowledge and agree that (1) you are responsible for remaining knowledge about the Program's rules and associated National Account Supply Agreement; (2) The Home Depot reserves the right to change the rules or terminate the Program in accordance with the associated National Account Supply Agreement, with or without written notice; and (3) you have read and accepted these Program rules.
